Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Simplae website, applications, and related services (collectively, the "Service") provided by Simplae ("Simplae," "we," "us," or "our"). Please read these Terms carefully before using the Service.
Acceptance of terms
By accessing or using the Service, creating an account, submitting a demo request, subscribing to a paid plan, or connecting messaging or integration channels, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.
If you do not agree, do not use the Service.
Description of the Service
Simplae is an AI receptionist platform for small businesses. The Service helps businesses respond to customer calls and text messages, book appointments, qualify leads, send follow-ups, and automate common customer communication workflows through configurable AI assistants, messaging channels, and optional third-party integrations.
Features may include SMS messaging, workflow automation, owner portals, analytics, scheduling and CRM integrations, payment-related actions, and other tools we make available from time to time. We may add, modify, or discontinue features at our discretion.
Customer accounts
To use certain features, you must create or activate an account and provide accurate, current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You must promptly notify us at support@simplae.com if you suspect unauthorized access. We may suspend or terminate accounts that violate these Terms or present security or abuse risks.
Acceptable use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights.
- Send unlawful, deceptive, harassing, abusive, or spam messages.
- Impersonate any person or entity, or misrepresent your affiliation.
- Transmit malware, attempt unauthorized access, or interfere with platform security.
- Use the Service for high-risk activities where automated responses could cause harm, including emergency services, medical diagnosis, or legal advice without appropriate human oversight.
- Collect or process personal information without appropriate notice, consent, and legal basis, including compliance with messaging consent and opt-out requirements.
- Reverse engineer, copy, or resell the Service except as expressly permitted.
You are responsible for obtaining any required customer consent before sending SMS or marketing communications and for honoring opt-out requests, including STOP/HELP handling where applicable.
AI-generated responses
The Service uses artificial intelligence, including OpenAI when configured, to generate responses and automate actions. AI outputs may be inaccurate, incomplete, outdated, or inappropriate for a given situation. Simplae does not guarantee the accuracy, legality, or suitability of any AI-generated message, booking action, payment request, or workflow outcome.
You remain solely responsible for your business communications, compliance obligations, and the configuration of your assistant, knowledge sources, workflows, and integrations.
Customer responsibility for communications
You are responsible for reviewing important customer communications, monitoring automated workflows, and ensuring that AI-generated responses meet your business standards and legal requirements. You should configure escalation paths, business hours, fallback messages, and human handoff rules appropriate for your industry and risk profile.
Simplae is a tool to assist your business. It does not replace your obligation to supervise customer interactions, especially for billing disputes, medical information, contractual commitments, or other sensitive matters.
Subscriptions and payment
Paid plans, trial periods, billing cycles, and included features are described on our website or in your account. By subscribing, you authorize us and Stripe, our payment processor, to charge applicable fees, taxes, and recurring subscription amounts using your selected payment method.
- Billing — subscription fees are billed in advance according to your selected plan unless otherwise stated.
- Trials and promotions — trial terms and promotional pricing, if offered, will be disclosed at signup and may convert to paid billing unless canceled before the trial ends.
- Cancellation — you may cancel according to the process provided in your account or by contacting support. Cancellation stops future billing but does not automatically entitle you to a refund for the current billing period unless required by law or expressly stated.
- Fee changes — we may change pricing with advance notice for subsequent billing periods.
Failure to pay may result in suspension or termination of access to paid features. You remain responsible for messaging, telephony, and third-party integration charges imposed by external providers where applicable.
Third-party services and integrations
The Service may interoperate with third-party providers such as SMS carriers, email services, payment processors, calendars, CRMs, and analytics tools. Your use of those services is subject to the third party's terms and privacy policies. We are not responsible for third-party outages, pricing, policy changes, or data handling outside our control.
Intellectual property
The Service, including software, branding, documentation, and website content made available by Simplae, is owned by Simplae or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes during your subscription or authorized trial.
You retain ownership of content you submit to the Service, including business information, customer messages, and configuration data. You grant Simplae a license to host, process, transmit, display, and use that content as necessary to provide and improve the Service.
Confidentiality and data
Each party will handle the other's confidential information with reasonable care and use it only for purposes related to the Service. Our handling of personal information is described in the Privacy Policy.
Service availability
We strive to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service may be unavailable due to maintenance, upgrades, third-party failures, network issues, messaging carrier delays, or events outside our reasonable control.
We may modify, suspend, or discontinue any part of the Service at any time. Where reasonably practicable, we will provide notice of material changes affecting paid customers.
Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMPLAE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI OUTPUTS WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR USE CASE.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMPLAE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMPLAE'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO SIMPLAE FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100) IF YOU HAVE NOT PAID FEES.
Some jurisdictions do not allow certain limitations, so some of the above limitations may not apply to you.
Indemnification
You agree to defend, indemnify, and hold harmless Simplae from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your content, your customer communications, your violation of these Terms, or your violation of applicable law or third-party rights.
Termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, fail to pay applicable fees, create legal or security risk, or if we discontinue the Service. Upon termination, your right to access the Service ends, but sections that by their nature should survive will remain in effect.
Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Material changes will become effective on the date stated in the notice or, if none is stated, when posted. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
Governing law
These Terms are governed by the laws of the State of Delaware, excluding its conflict of law rules, except where mandatory consumer protection laws in your jurisdiction provide otherwise.
